1. Introduction and Acceptance

Welcome to Purium. Purium is a brand of Organic By Nature, Inc. (“Purium,” “we,” “us,” or “our”). These Terms and Conditions of Use (the “Terms”) govern your access to and use of our website, products, services, and any communications you receive from us, including text (SMS/MMS) messages (collectively, the “Services”).

By accessing or using our Services, creating an account, purchasing a product, or opting in to receive communications from us, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, please do not use our Services.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use our Services, make a purchase, or consent to receive text messages from us. By using our Services, you represent and warrant that you meet this requirement and that all information you provide is accurate and current.

3. Description of Services

Purium offers health, wellness, and nutritional products, along with related content and customer support. We may modify, suspend, or discontinue any part of the Services at any time without prior notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

4. License to Use the Site

Subject to your agreement to these Terms, Purium grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website and its content for your personal, non-commercial use, and, if you are a Brand Partner, for the permitted operation of your Purium business in accordance with Purium’s policies. You may not copy, modify, distribute, sell, or create derivative works from any part of the site or its content without our prior written permission. All rights not expressly granted are reserved by Organic By Nature, Inc. We may revoke this license at any time.

5. Text Messaging (SMS/MMS) Terms

The following terms apply specifically to any text messaging program operated by Purium.

5.1 Consent to Receive Messages.

Our text messaging program is available to Purium customers and enrolled Brand Partners. You may opt in to receive text messages (for example, by checking a consent box at checkout or on an opt-in page, or by texting a keyword). By opting in and providing your mobile phone number, you expressly consent to receive recurring automated text messages from Purium at the number provided. For customers, these relate to your orders, account, and Purium products and promotions; for Brand Partners, they also relate to your Brand Partner relationship. Consent is not a condition of purchasing any goods or services or of enrolling as a Brand Partner.

5.2 Types of Messages.

Messages are sent to customers and enrolled Brand Partners who have opted in. For customers, messages may include order and account notifications, product updates and launches, promotions and specials, and customer service communications. For Brand Partners, messages may also include business and account notifications, training and educational information, and event announcements related to your Brand Partner relationship.

5.3 Message Frequency.

Message frequency varies. You may receive recurring messages based on your interaction with us and the programs you have joined.

5.4 Message and Data Rates.

Message and data rates may apply. These charges are billed by, and payable to, your mobile service provider. Please contact your wireless carrier for details about your messaging plan.

5.5 Opting Out.

You may cancel text messages at any time by replying STOP to any message you receive from us. After you send STOP, we will send you a single confirmation message and then stop sending text messages to that number. You may continue to receive messages for a short period while we process your request. To resume messages, you can opt in again through any of our sign-up methods.

5.6 Help.

5.7 Supported Carriers.

Carriers are not liable for delayed or undelivered messages. Delivery of messages is subject to effective transmission by your wireless carrier and is not guaranteed by Purium.

5.8 Privacy.

We respect your privacy. Mobile information, including your phone number and SMS opt-in data and consent, will not be shared or sold to third parties or affiliates for their marketing purposes. Information may be shared with service providers that help us operate our messaging program, subject to the protections described in our Privacy Policy. 6. Orders, Pricing, and Payment

All orders are subject to acceptance and product availability. Prices, promotions, and product descriptions are subject to change without notice. We reserve the right to refuse or cancel any order, including for suspected fraud or pricing errors. You are responsible for providing accurate billing and shipping information and for all applicable taxes.

7. Health and Product Disclaimer

Our products are not intended to diagnose, treat, cure, or prevent any disease. These statements have not been evaluated by the Food and Drug Administration. The information provided through our Services is for general informational purposes only and is not a substitute for professional medical advice. Always consult a qualified healthcare provider before beginning any new supplement, diet, or wellness program, particularly if you are pregnant, nursing, taking medication, or have a medical condition.

8. User Accounts and Conduct

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree not to use the Services for any unlawful purpose, to interfere with the operation of the Services, or to attempt to gain unauthorized access to any part of the Services or related systems.

9. User Submissions and Reviews

You may have the opportunity to submit content to us or through our Services, such as product reviews, ratings, testimonials, comments, photos, videos, and other materials (collectively, “Submissions”). This includes reviews and testimonials submitted by both customers and Brand Partners.

By making a Submission, you grant Organic By Nature, Inc. and its brand Purium a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual, and irrevocable right to use, reproduce, modify, adapt, publish, translate, distribute, and display that Submission in whole or in part, and to incorporate it into any media, including for marketing, promotional, advertising, and social media purposes, without further notice, attribution, or compensation to you. For example, we may publish a customer or Brand Partner review on our website, in emails, or in promotional materials.

You represent and warrant that you own or otherwise control all rights to your Submissions, that your Submissions are accurate and not misleading, and that they do not violate these Terms or any law or the rights of any third party. You are solely responsible for your Submissions. We are not obligated to use, monitor, or display any Submission, and we may edit, refuse to post, or remove any Submission at our discretion. We do not endorse and are not responsible for any opinions or statements expressed in Submissions.

10. Intellectual Property

All content on our website and in our communications, including text, graphics, logos, images, product names, and the Purium and Organic By Nature marks, is the property of Organic By Nature, Inc. or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written permission.

11. Disclaimer of Warranties

The Services and all content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Purium and Organic By Nature, Inc. disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any content is accurate, complete, or current. Any material you access or obtain through the Services is done at your own discretion and risk.

12. Limitation of Liability

To the fullest extent permitted by law, Purium and Organic By Nature, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services. This includes, without limitation, any delays, failures in delivery, non-delivery, or other issues related to the transmission or receipt of text messages. Our total liability for any claim arising out of these Terms or the Services will not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Organic By Nature, Inc., its brand Purium, and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in California.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above. Your continued use of the Services after any change constitutes your acceptance of the revised Terms.

16. Entire Agreement and Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Organic By Nature, Inc. regarding your use of the Services, and supersede any prior agreements or understandings. If you are an enrolled Brand Partner, these Terms do not replace or modify your separate Brand Partner agreement or Purium’s policies and procedures. Our failure to enforce any provision of these Terms is not a waiver of that provision. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
